A Statement of Work (SOW) is a contract document that defines the specific work to be performed under a broader agreement — typically a Master Services Agreement (MSA) — between a company and a contractor, agency, or vendor. Where an MSA sets the general legal terms of the relationship, the SOW spells out the details of a single engagement: scope of work, deliverables, timeline and milestones, pricing structure, acceptance criteria, and what falls outside the engagement entirely.
In contingent workforce programs, a well-drafted SOW is the main defense against scope creep and payment disputes — most disagreements trace back to vague deliverables or a missing out-of-scope section, not disagreements over price. SOWs are most common in project-based, fixed-fee, and time-and-materials engagements with independent contractors and staffing suppliers, and terms often need adjusting for international engagements where local labor law applies.
