1099 Filing Service Terms & Conditions

Please refer below to our terms of service for our 1099 filing service.

 

These Worksuite 1099 Filing Service Specific Supplemental Terms (“1099 Terms”) govern Member’s purchase and use of the Worksuite 1099 Filing Service (“1099 Filing Service”) available to Global Pay customers through the Worksuite platform. These 1099 Terms are in addition to, and incorporate by reference, the Worksuite Terms of Service for Members located at https://worksuite.com/terms-and-conditions (the “Terms”). Any capitalized terms used in these 1099 Terms and not defined have the meanings given in the Terms.

By checking the box indicating your acceptance of these Terms and Conditions and proceeding with the use of our 1099 filing services (“Services”), you (“Member”) agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you must not use our Services.

Your continued use of our Services signifies your acceptance of any updates to these Terms and Conditions as they may be revised from time to time.

  1. Definitions
    1. “Contractor Data” means all relevant information provided by Contractors in the Worksuite platform, including but not limited to tax identification numbers, addresses, contact information, necessary for generating and filing 1099 forms.
    2. “Customer Data” means information provided by the Member related to payments made to Contractors through the Worksuite platform, including but not limited to payment amounts, dates, and any other relevant compensation information required for filing 1099 forms.

  2. Use of the 1099 Filing Service
    Worksuite will provide the 1099 Filing Service to the Member, which includes filing the necessary 1099-NEC forms with the Internal Revenue Service (IRS) and/or other applicable tax authorities. The filings will be based on the Contractor Data and Customer Data available in the Worksuite platform at the time of filing. It is the Member’s sole responsibility to ensure that all payment and invoicing information is accurate and up-to-date by the deadline specified in the 1099 Opt In workflow. Worksuite is not responsible for verifying the accuracy of any data provided by the Member or Contractors. Worksuite uses a third party service to file Member’s 1099s at the end of each tax year.

  3. Authorization
    The Member authorizes Worksuite, on the Member’s behalf, to engage with relevant authorities and third parties for the purposes of validation, filing, and status retrieval related to the 1099 Filing Service. This authorization is limited to activities directly associated with the 1099 filing process. Worksuite will not interact with regulatory agencies on behalf of the Member for any other matters beyond the scope of the 1099 Filing Service.

  4. Member Responsibilities
    Worksuite relies on freelancer-provided data and customer-supplied payment/invoicing information to generate required tax forms for our customers. For customers and freelancers in the United States, Worksuite generates forms such as W-9, W-8BEN, and W-8BEN-E (“Forms”), which must be reviewed, dated, and signed by the freelancer. We do not guarantee the accuracy or correctness of the data on any form generated by the platform, nor can we confirm that freelancers have selected the appropriate form for their tax situation.

    Members are responsible for verifying the accuracy and completeness of all data, including payment/invoicing records and information on the forms, before submitting to any tax authority. By using Worksuite to generate and manage tax forms, Member represents and warrants that all provided information, including freelancer and payment data, is true and accurate, to the best of Member’s knowledge. Failure to provide accurate information may result in incorrect filings, penalties or other liabilities for which you are solely responsible. Worksuite is not liable for any inaccuracies, omissions, or errors in the data provided.

    Member shall download and save 1099 records as necessary to maintain its own records separate from the 1099 Filing Service and shall not use the 1099 Filing Service or Worksuite platform for general archiving or back-up purposes.

  5. Compensation Data Requirements
    Worksuite will only include compensation paid outside of the Worksuite platform in its 1099 filings if the data is imported into the Worksuite platform. Any payment data not represented in the Worksuite platform will not be included in the filings.

  6. Limitation of Liability
    We provide our Services “as is” and make no warranties, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties or merchantability and fitness for a particular purpose. 

    Worksuite shall not be liable for any penalties, fees, or other charges assessed by the IRS or any other tax authority due to errors, omissions, or inaccuracies in the data provided by the Member or their Contractors. The Member agrees to indemnify, defend, and hold Worksuite harmless from any such liabilities, including attorney fees, arising from the filing of 1099 forms based on the Member’s data.

  7. Pricing and Payment Terms
    The Member agrees to the pricing and fees associated with the 1099 Filing Service as outlined in Worksuite's current pricing schedule. Payment is due upon receipt unless otherwise agreed to in the Member’s Platform Services Agreement.

  8. Data Protection and Sharing
    If the Member chooses to opt out of the 1099 Filing Service, the Member acknowledges that it is solely responsible for collecting any necessary tax filing data from its contractors. Worksuite will not export or share contractor tax filing data in bulk if the Member opts out of the 1099 Filing Service.

  9. No Tax Advisory Role
    The Member acknowledges that Worksuite is not a tax attorney, advisor, or consultant and does not provide tax advice. The Member should seek independent professional advice for any tax matters related to the 1099 Filing Service.

  10. Termination of Service
    Either party may terminate this Service upon providing written notice. Upon termination, Worksuite will cease providing the 1099 Filing Service, and the Member will assume full responsibility for any remaining or future filings.

  11. Changes to the Terms and Conditions
    Worksuite reserves the right to modify or update these 1099 Terms at any time. Any changes will take effect immediately upon posting the updated 1099 Terms on our website. It is the Member’s responsibility to review these 1099 Terms periodically for updates. Continued use of the 1099 Filing Service after any changes constitutes acceptance of the revised 1099 Terms

  12.  Acceptance
    By opting into the 1099 Filing Service, the Member acknowledges that they have read, understood, and agree to be bound by these 1099 Terms.
